Subscription: refers to the contract to which the Customer has subscribed with the Company in order to benefit from Premium Services for a limited and tacitly renewable period.

Customer: refers to any User of the Site who has subscribed to a current Subscription enabling them to access Premium Services in return for payment of a fee;

Site Content: Includes all elements of any kind published on the site, whether or not they are protected by intellectual property rights, such as texts, images, designs, presentations, videos, diagrams, structures, databases or software.

Documents: Includes documents such as guides, fact sheets, videos and the database.

Internet user : Includes any individual or legal entity, under private or public law, connecting to the site.

Product: Refers to any good sold on the site by "data-societes.com" to the Customer, including in particular all information and supporting documents on French companies registered in France, such as Kbis, articles of association, balance sheets.

Pro Services: refers to the Services available from the Site, access to which is conditional on current subscription to a Subscription.

Pro Site: Includes the website accessible at the URL data-societes.com, as well as any associated sub-sites, portals and URL variations.

Scope of application

"data-societes.com" is a private service, independent of public and state administrations, which have their own websites and online services.
The Site is freely accessible to all Internet users. Browsing the site implies full acceptance of these terms and conditions. Simply connecting to the site by any means, in particular via a robot or browser, constitutes full acceptance of these terms and conditions. When registering on the site, this acceptance will be confirmed by ticking the corresponding box.
The Internet User acknowledges that he/she has read these general terms and conditions, accepts them without restriction, and acknowledges the evidential value of the automatic recording systems of "data-societes.com"

These general terms and conditions apply to the relationship between the parties, to the exclusion of all other terms and conditions, in particular those of the Internet user.
Acceptance of these terms and conditions assumes that Internet users have the necessary legal capacity, or that they have the appropriate authorisation from a guardian or curator in the case of incapacity, or from a legal representative in the case of minority, or that they hold a mandate if they are acting on behalf of a legal entity.

Description des Services

The purpose of the Site is to make the Service available to the Customer.
As part of the Service, Customers can download Products from the site.
The Customer declares that he/she is aware of the technical characteristics of the Service prior to signing this Agreement. He acknowledges that his needs and the services offered by the Site are appropriate. The Customer undertakes to do so with full knowledge of the facts and with all the information required to give free and informed consent.
Any processing, transmission, publication, distribution or representation of the Services by the Customer is carried out under its sole and entire responsibility. The Customer undertakes to process, distribute, download or transmit via the Services only data the use of which does not infringe any intellectual or industrial property right, or any other private right, and which does not constitute the commission of a criminal offence.
The Customer also undertakes not to hinder or disrupt the Services and the Site's servers and to comply with the required conditions, procedures and general rules communicated by the Site for the proper implementation of the Service.
The Customer guarantees the Site against any damage that may be caused to it as a result of its use of the Services and undertakes to intervene in any legal proceedings brought against it as a result of its use of the Services.

Access to Premium Services

Access to the Premium Services by the Customer is subject to the creation of an Account and the subscription to a Subscription.
To set up an Account, Customers must complete the following steps from the "Subscribe" page:

Provide a range information, including:
- The name of his company or the corresponding SIRET/SIREN number;
- A valid email address, exclusively dedicated to professional purposes;
- A password
Subscribe to a Subscription and make the payment corresponding to the Trial Period, or to 30 days of Subscription if he has already benefited from the Trial Period
Accept without reservation the General Terms and Conditions of Use (GTCU).

Le Client s'engage à garantir l'exactitude et la mise à jour des informations fournies lors de la création du Compte, y compris son statut professionnel, et s'oblige à les mettre à jour promptement en cas de modification de sa situation.
En cas d'informations incorrectes ou susceptibles de l'être, la Société se réserve le droit de suspendre ou de résilier tout lien contractuel avec le Client et/ou de restreindre immédiatement l'accès de ce dernier à son Compte.

Access to Premium Services

To complete the creation of their Account, the Customers must take out a Subscription which gives access to the Premium Services as following:

Dès la création de son Compte, le Client bénéficie d'une Période d'essai permettant l'accès aux Services Premium pendant une durée limitée de 2 jours, moyennant le règlement de la somme d'1.49 € H.T. (hors taxes).
If the Subscription is not cancelled before the end of the Trial Period, it will be automatically renewed for successive periods of 30 days. During each renewal period, the Customer will have access to the Premium Services in exchange for payment of €59 excluding VAT (excluding VAT).

Payment for a Subscription is made exclusively by credit card. Each Customer is entitled to a single Trial Period.

Price - Payment - Invoices

The applicable prices are those displayed on the Site at the time of subscription and may be modified at any time for any subsequent order. The prices shown on the Site are in euros, inclusive of all taxes, and are valid only on the date of the order.
Payment can be made by credit card online, via secure transactions.
The Site does not have access to the Customer's payment details for credit card payments.
The Site will make an invoice available on the customer area after each payment. The Customer agrees to access his invoices electronically.
The agreed payment dates may not be delayed, even in the event of a dispute. Any delay in payment will incur late payment penalties calculated on the basis of three times the legal interest rate, without prejudice to the immediate payment of all sums due and recovery costs.

Complaint - Withdrawal - Guarantee

Le service clientèle est accessible par courrier électronique à contact@data-societes.com, ou via le formulaire de contact sur le site internet. Le Site s'engage à répondre dans un délai de 48 heures ouvrées, et met tout en œuvre pour répondre dans un délai inférieur à 24h ouvrées.
Les Services sont strictement destinés à une clientèle professionnelle opérant dans le cadre de son activité principale, ce qui implique que le Client ne dispose d'aucun droit de rétractation.
Par ailleurs, les présentes Conditions Générales d’Utilisation (CGU) concernent la fourniture de contenus numériques sans support matériel, dont l'exécution débute dès la création du Compte et avant l'expiration du délai de rétractation. À cet égard, le Client donne explicitement son consentement préalable pour que l'exécution des CGU démarre avant la fin du délai de rétractation. Il reconnaît expressément qu'il n'a pas le droit de rétractation.

PERSONAL SPACE

The creation of a personal space is a prerequisite for any online order. The user must provide personal information, some of which is essential for this creation. Refusal to provide this information will prevent the space from being created and, consequently, the order from being validated. When the space is created, the user must choose a password that guarantees the confidentiality of the information. The user undertakes not to divulge this password to third parties, failing which the site cannot be held responsible in the event of unauthorised access.
Customers also undertake to check their data regularly and to make any necessary updates online from their personal space.
The personal area allows customers to store and centralise their business documents and to consult and track their order history. The pages relating to these areas may be printed by the account holder, but they do not constitute admissible evidence in court. They are purely informative and are intended to facilitate order management by the customer.
The site undertakes to keep all necessary contractual elements securely in accordance with the law.
The site reserves the right to delete a customer's account in the event of non-compliance with the general terms and conditions, particularly in the event of the provision of inaccurate or misleading information, or if the personal space has remained inactive for at least one year. Such deletion does not entitle the excluded customer to compensation, but does not prevent the site from taking legal action if necessary.

PERSONAL DATA

As part of its service, The Site will be required to process the personal data of its Customers.
The party responsible for data collection and processing on the Site is EASY API Limited.
In order to ensure compliance with the correct application of the RGPD, The Site has designated and appointed an external service provider as Data Protection Officer (DPO).
As part of its contractual relations, The Site may collect and process information from its Customers, namely: surnames, first names, job title, company name, telephone number, postal addresses, e-mail addresses and contract history.
The data collected during the contractual relationship is subject to automated processing for the purpose of :

fulfil contractual obligations;
contact Customers;
avoid any illegal or illegal activity;
ensure compliance with the terms and conditions;
initiate legal proceedings;
verify the identity of Customers;

Les données personnelles sont conservées dans des conditions sécurisées, selon les moyens actuels de la technique, dans le respect des dispositions du Règlement général sur la protection des données et de la législation nationale en vigueur. L’accès aux locaux du site est également sécurisé.
Le Site peut également collecter et traiter toute donnée transmise volontairement par ses Clients. Le Site oriente ses Clients afin qu’il fournisse des données à caractère personnel strictement nécessaires à l’exécution des engagements contractuels. Le Site s’engage à ne conserver et traiter que les données strictement nécessaires à ses activités professionnelles, et supprimera toute donnée reçue non utile à ses activités dans les plus brefs délais.
Les Clients du Site disposent des droits suivants concernant leurs données personnelles, qu’ils peuvent exercer en écrivant à l’adresse de contact : contact@data-societes.com.
Les Clients du Site ont la possibilité d’accéder aux données personnelles qui les concernent. En raison de l’obligation de sécurité et de confidentialité dans le traitement des données à caractère personnel qui incombe le site, les demandes seront uniquement traitées si les Clients rapportent la preuve de leur identité, notamment par la production d’un scan de leur titre d’identité valide (en cas de demande par le formulaire électronique dédié) ou d’une photocopie signée de leur titre d’identité valide (en cas de demande adressée par écrit), tous deux accompagnés de la mention « j’atteste sur l’honneur que la copie de cette pièce d’identité est conforme à l’original. Fait à … le … », suivie de leur signature. Pour les aider dans leur démarche, les Clients trouveront ici un modèle de courrier élaboré par la Cnil.
Les Clients du Site ont la possibilité de demander la rectification, la mise à jour, le verrouillage ou encore l’effacement de leurs données personnelles qui peuvent s’avérer le cas échéant inexactes, erronées, incomplètes ou obsolètes. Les Clients du site peuvent également définir des directives générales et particulières relatives au sort des données à caractère personnel après leur décès. Le cas échéant, les héritiers d’une personne décédée peuvent exiger de prendre en considération le décès de leur proche et/ou de procéder aux mises à jour nécessaires. Les Clients du Site ont le droit de recevoir les données personnelles qu’ils ont fournies dans un format transférable, ouvert et lisible.
Les Clients du Site ont le droit de demander que le traitement de leurs données personnelles par Le Site soit limité. Ainsi, leurs données ne pourront qu’être conservées et non plus utilisées par Le Site.
Le Site s’engage à répondre à toute demande d’accès, de rectification ou d’opposition ou toute autre demande complémentaire d’informations dans un délai raisonnable qui ne saurait dépasser 1 mois à compter de la réception de la demande.
Si les Clients du Site considèrent que Le Site ne respecte pas ses obligations au regard de leurs données à caractère personnel, ils peuvent adresser une plainte ou une demande auprès de l’autorité compétente. En France, l’autorité compétente est la Cnil à laquelle ils peuvent adresser une demande ici.

Le Site a recours à des prestataires habilités pour faciliter la collecte et le traitement des données de ses Clients. Ces prestataires peuvent être situés en dehors de l’Union Européenne. EASY API Limited s’est préalablement assuré de la mise en œuvre par ses prestataires de garanties adéquates et du respect de conditions strictes en matière de confidentialité, d’usage et de protection des données, par exemple via le Privacy Shield états-unien.
Les Clients consentent également à ce que le Site communique les données collectées à toute personne, sur réquisition d’une autorité étatique ou sur décision judiciaire.
Si le Site est impliqué dans une fusion, une vente d'actifs, une opération de financement, une liquidation ou banqueroute ou dans une acquisition de tout ou partie de son activité par une autre société, les Clients consentent à ce que les données collectées soient transmises par Le Site à cette société et que cette société opère les traitements de données personnelles visés dans les présentes Conditions générales de service au lieu et place du site.

LIABILITY OF THE SITE

The Site undertakes to take the necessary care and diligence to provide quality Services that comply with the specifications of these General Terms and Conditions. The Site is only responsible for an obligation of means concerning the services covered by these Terms and Conditions.
The Site is not bound by any particular guarantee concerning the content of the Documents, whatever the heading or Service concerned, their suitability in relation to the search carried out by the Customer, their existence and their accessibility via the Service. The Site may freely modify its Documents, the Customer having no right to maintain the Documents in the state in which they were at the time of subscribing to the Service.
The Customer is solely responsible for the choice of Product, the choice of information selected, its suitability for the intended use and the use made of it. Use of the Documents is the sole responsibility of the Customer.
The Site shall not be held liable in the event of force majeure or fault on the part of the Customer, as defined in this article:
For the purposes of these General Terms and Conditions, any impediment, limitation or disruption of the Service due to fire, epidemic, explosion, earthquake, fluctuations in bandwidth, failure attributable to the access provider, failure of the transmission networks, collapse of installations, etc. shall be deemed to be a case of force majeure that may be invoked against the Customer, illicit or fraudulent use of passwords, codes or references supplied to the Customer, computer hacking, a security breach attributable to the Site host or developers, flooding, power failure, war, embargo, law, injunction, request or requirement of any government, requisition, strike, boycott, or other circumstances beyond the reasonable control of The Site. In such circumstances, The Site shall be excused from performing its obligations to the extent of such impediment, limitation or disruption.
For the purposes of these General Terms and Conditions, any misuse of the Service, fault, negligence, omission or default on the part of the Customer or his/her agents, failure to comply with the advice given by Le Site on its Site, any disclosure or unlawful use of the Customer's password, codes and references, as well as the provision of incorrect information or failure to update such information in the Customer's personal space, shall be deemed to constitute a fault on the part of the Customer. The use of any technical process, such as robots or automatic requests, that contravenes the letter or spirit of these General Terms and Conditions of Sale shall also be considered a fault on the part of the Customer.
In the event that access to the Site is impossible due to technical problems of any kind, the Customer may not claim any damages and may not claim any compensation. The unavailability, even prolonged and without any time limit, of one or more online services cannot constitute a prejudice for Customers and cannot in any way give rise to the awarding of damages by Le Site.
The hypertext links on the Site may lead to other websites. Le Site may not be held liable if the content of these sites contravenes current legislation. Likewise, Le Site may not be held liable if the Internet User's visit to one of these sites causes him/her harm.
In the absence of legal or regulatory provisions to the contrary, Le Site's liability is limited to the direct, personal and certain damage suffered by the Customer and linked to the failure in question. The Site may not under any circumstances be held liable for indirect damage such as, in particular, loss of data, commercial prejudice, loss of orders, damage to brand image, commercial disturbances and loss of profits or customers. Similarly and within the same limits, the amount of damages and interest for which Le Site is liable may not in any event exceed the price of the Service ordered.
The Site Content is published for information purposes only, without any guarantee of accuracy. The Site may not under any circumstances be held liable for any omission, inaccuracy or error contained in this information which may cause direct or indirect damage to the Internet User.

INTELLECTUAL PROPERTY

The Site Content may be protected by copyright and database right. Any representation, reproduction, translation, adaptation or transformation, in whole or in part, carried out illegally and without the consent of Le Site or its beneficiaries or assigns constitutes a violation of Books I and III of the Intellectual Property Code and may give rise to legal proceedings for infringement.
The Internet User contractually undertakes to The Site not to use, reproduce or represent, in any way whatsoever, the Content of the Site, whether or not it is protected by an intellectual property right, for any purpose other than for reading by a robot or browser. This prohibition does not apply to indexing robots whose sole purpose is to scan the content of the Site for indexing purposes.
The Site is and remains the owner of the property rights relating to the Documents made available to the Customer. This agreement does not grant the Customer any right of ownership over the Documents, with the exception of a personal and non-transferable right of use as an end user. The temporary provision of the Documents under the conditions set out in these general terms and conditions may not be analysed as the transfer of any intellectual property rights to the Customer.

APPLICABLE LAW

These general terms and conditions may be modified at any time by The Site. The general terms and conditions applicable to the Customer are those in force on the date of the Customer's order or connection to this Site, with any new connection to the personal area implying acceptance of the new general terms and conditions, where applicable.

La nullité d'une des clauses du présent contrat n'entraînera pas la nullité des autres clauses du contrat ou du contrat dans sa globalité, qui garderont leur plein effet et portée. Dans une telle hypothèse, les parties devront dans la mesure du possible remplacer la stipulation annulée par une stipulation valable correspondant à l'esprit et à l'objet des présentes.
L'absence d'exercice par Le Site des droits qui lui sont reconnus par les présentes ne pourra en aucun cas être interprétée comme une renonciation à faire valoir lesdits droits.
Le Client est informé qu’il a la possibilité de s’inscrire sur la liste d'opposition au démarchage téléphonique à l’adresse http://www.bloctel.gouv.fr/.
Les présentes conditions générales sont proposées en français ainsi qu’en anglais.
Les stipulations des présentes conditions générales s'appliquent sous réserve du respect des dispositions impératives du Code de la consommation concernant les clauses abusives dans les contrats conclus entre un professionnel et un consommateur.
